Professional Information


Michael is a California-licensed attorney who has worked as a foreign legal consultant in Taiwan for the past 20 years. Michael’ s work is primarily focused on cross-border bank lending, leasing, trade factoring, and commercial transactions, but he has also advised clients on a range of other matters including general commercial negotiations, private banking transactions, compliance questions, disputes, licensing arrangements, and data security measures.

Michaels’s approach to transactional matters focuses on identifying the most efficient structure to accomplish the desired deal outcome, and then using his experience in working with both Taiwan and foreign-based clients to make the structure fit each side.

Prior to arriving in Taiwan, Michael attended the University of Chicago Law School, where he was a founding member of the Chicago Journal of International Law, and began his career in the Los Angeles office of Skadden Arps. As a member of Skadden’ s corporate department, Michael worked primarily on securities offerings, M&A transactions, and joint ventures, including the issuance of convertible bonds for a Las Vegas casino, disclosure work on a series of tech mergers, and negotiations for a theme park joint venture in Shang- hai.

Experience


  • Acting for a group of European and Australian banks over a 15-year period in connection with the financing of a series of wind power projects in Taiwan, helping to successfully restructure and expand the projects in response to deal-specific challenges and new opportunities resulting from changes in local laws and policies.
  • Advising a US bank on a series of cross -border receivables purchasing facilities for Taiwan manufacturers.
  • Representing a Swiss private equity firm with respect to cross-border joint ventures to invest in in several Taiwan solar power projects.
  • Advising a US capital firm on the restructuring of its Taiwan branch, including employment arrangements and the core export factoring business.
  • Acting for a Taiwan commercial bank on a series of cross-border syndicated loan transactions.
  • Representing a US technology company and its CEO in connection with a Taiwan-China cover-glass joint venture project.
  • Consulting for a Taiwan biopharmaceutical manufacturer on cross-border licensing, cooperation, and distribution agreements related to the company’s COVID-19 vaccine.
